Blue Lobster is a hospitality and marina management company, managing and operating Chadwick Cove Resort & Marina in Englewood Florida. Chadwick Cove offers eleven (11) condominium units for short-term and longer-term vacationers, including waterfront lodging options with full kitchens and views of Lemon Bay and/or the Gulf of Mexico. The property also offers twenty-one (21) boat slips for vessels up to fifty-five (55) feet in length, available on a daily, weekly, monthly, seasonal, or liveaboard basis. Chadwick Cove is open year-round. However, the Company experiences a seasonal peak in business during the Florida winter tourism season, generally beginning in December and ending at the close of April. During this time, the state of Florida experiences an influx of tourists. Attached as as Exhibit B is a report from the state of Florida evidencing that the state tourism peaks in the winter months. With an increase in tourism, the demand for hotel and resort accommodations typically increases during those months. Located in Manasota Key, Florida, Chadwick Cove experiences an increased demand for its services during the December-April period. Chadwick Code is operating its first full season in the winter of 2026-2027, but expects to remain open year round, maintaining housekeepers on payroll during the entire year. The Company will supplement its permanent workforce with temporary housekeepers during the peak of tourism season. The temporary workers are not going to become part of the employer's operations, as we intend to employ them only during the winter season, to respond to the higher demand for our resort and marina services.
